Terms & conditions
Please read this alongside our Privacy Policy and No Refund Policy — together they form your agreement with Medhavo.
1. Preamble and acceptance
1.1 These Terms and Conditions ("Terms") govern access to and use of the website https://medhavo.com, the application at https://app.medhavo.com, and all related mobile applications, live classes, recordings, study material, tests, mentoring, reports and services (together, the "Platform").
1.2 The Platform is owned and operated by Bhagwati Pitambara Trust, a registered charitable trust based in Noida, Uttar Pradesh ("Medhavo", "the Trust", "we", "us", "our").
1.3 This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. It does not require a physical or digital signature.
1.4 By creating an account, booking a demo, making a payment, attending a class, downloading material or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms, the Privacy Policy (Part B), the No Refund Policy (Part C) and any programme-specific terms (together, the "Agreement"). If you do not agree, you must not use the Platform.
1.4A Before you submit an enquiry, enrol in or renew any Programme, join a free Programme or order study material, the Platform asks you to tick a box confirming that you accept the Agreement. Ticking that box is your electronic acceptance of the Agreement, as in force on that date, for yourself and, where applicable, on behalf of the Minor. Medhavo keeps an electronic record of each acceptance, including the date and time, the version accepted, the account or contact details used, the Programme or item concerned, the IP address and the device or browser. That record is admissible as evidence of your acceptance, and is conclusive unless shown to be manifestly erroneous. Accepting by tick box does not limit acceptance by use under clause 1.4.
1.5 Where a Parent or Guardian accepts these Terms for a Minor, the Parent or Guardian accepts them both personally and on behalf of the Minor, and is jointly responsible for the Minor's compliance.
2. Definitions
In these Terms, unless the context requires otherwise:
- "Educator" means any teacher, mentor, faculty member, evaluator, interview panellist or subject expert who delivers or supports teaching on the Platform, whether engaged as an independent professional, consultant or otherwise.
- "Learner" means any person who registers for, attends or accesses any Programme, including a Minor.
- "Minor" means a person who has not completed 18 years of age.
- "Parent" or "Guardian" means the parent or lawful guardian of a Minor who registers, consents or pays on the Minor's behalf.
- "User" or "you" means any Learner, Parent, Guardian, visitor or other person accessing the Platform.
- "Programme" means any course, batch, class, test series, mentoring, mock interview, public speaking or personality development programme, or free resource offered on the Platform.
- "Content" means all lectures, recordings, notes, PDFs, tests, questions, answer keys, evaluations, current affairs, videos, audio, text, graphics, software and other material on the Platform.
- "Fees" means all amounts payable for any Programme.
- "Medhavo Persons" includes, without limitation, the Trust; its settlors, founders, trustees, managing trustee and office bearers; any director, partner or officer of any entity associated with or acting for the Trust; its employees, Educators, mentors, evaluators, guest speakers, consultants, agents, representatives, volunteers, interns and trainees; its affiliates, associated persons and entities, contractors and service providers; any other person acting for or on behalf of the Trust or in connection with the Platform; and each of their respective heirs, legal representatives, successors and assigns.
- "Wallet Credit" means any balance shown in a User's Medhavo wallet, including welcome credit, referral rewards and any amount added or returned by Medhavo, as further described in clause 7.9.
3. Nature of the Platform
3.1 Medhavo is an online technology platform that facilitates the connection between Learners and Educators for exam preparation (including school board examinations, CUET, UPSC and State Public Service Commission examinations) and for public speaking and personality development.
3.2 Medhavo provides the technology, scheduling, payment facilitation, communication tools and learning management systems. Unless expressly stated in writing for a specific Programme, the academic content, teaching methods, opinions, evaluations and guidance delivered in a class are those of the individual Educator.
3.3 To the extent Medhavo acts as an intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, it claims the protection of Section 79 of that Act for third-party information hosted, transmitted or made available through the Platform.
3.4 Medhavo is not a school, university, board, examining body or recruiting agency. It is not affiliated with, endorsed by or connected to the Union Public Service Commission, any State Public Service Commission, CBSE, CISCE, the National Testing Agency, any State Board or any Government body, unless expressly stated.
4. Eligibility, Minors and parental consent
4.1 A person who has completed 18 years of age and is competent to contract under the Indian Contract Act, 1872 may register on their own behalf.
4.2 A Minor may use the Platform only through an account created, and with verifiable consent given, by a Parent or Guardian. Medhavo may require proof of identity, relationship or age at any time, and may refuse or suspend access until satisfied.
4.3 The Parent or Guardian represents and warrants that they are legally entitled to consent on behalf of the Minor; that they will supervise the Minor's use of the Platform, including internet access, device use and interactions during classes; and that they accept all Fees, obligations and liabilities arising from the Minor's use.
4.4 If Medhavo learns that a Minor has registered without valid parental consent, it may suspend the account and delete the Minor's personal data in accordance with the Privacy Policy, without liability.
4.5 You represent that all information you provide is true, accurate, current and complete. Medhavo is not liable for any consequence arising from false, incomplete or outdated information you provide.
5. Educators
5.1 Educators are engaged as independent professionals unless a written employment contract states otherwise. Nothing in these Terms creates any employment, partnership, agency or joint venture relationship between a User and Medhavo, or between an Educator and a User.
5.2 Each Educator is solely responsible for the accuracy, legality, originality and quality of the teaching, material, opinions and evaluations they provide. Medhavo makes reasonable efforts to screen Educators but does not guarantee any Educator's qualifications, methods, availability or results.
5.3 Medhavo may assign, replace, rotate or change any Educator, batch timing, batch composition or mode of delivery at any time for operational reasons. No refund, discount or compensation is payable for any such change.
5.4 Users must not engage any Educator introduced through the Platform for private paid tuition outside the Platform during the Programme and for 12 months after it, without Medhavo's prior written consent. Medhavo may terminate the account of any User who breaches this clause, without refund, and claim damages for the loss suffered.
5.5 Medhavo is not responsible for any communication, payment, transaction or arrangement between a User and an Educator outside the Platform. Users must report any attempt by an Educator to contact them outside the Platform to the Grievance Officer.
5.6 Terms that apply to Educators and applicants. An Educator, and any person who applies to become one (an "applicant"), who registers on, applies through or uses the Platform accepts the Agreement, in addition to any separate written engagement with the Trust (which prevails over this clause if they conflict), and further agrees that:
- Fees, commission and payouts. Any per-class fee, lead commission or other amount payable to the Educator is the amount shown in the Educator's dashboard or agreed in writing at the time, and is payable only for work actually and properly delivered, or for a conversion approved by Medhavo. Medhavo's records of classes held, attendance, leads, conversions and payments are conclusive unless shown to be manifestly erroneous.
- Holding period and adjustments. Medhavo may hold any commission for a waiting period before release, and may withhold, adjust, set off or reverse any amount credited or paid that arose from an error, a cancelled or refunded enrolment, a chargeback, fraud, a breach of the Agreement or misconduct, including by debiting the Educator's wallet balance.
- Wallet and withdrawals. An Educator's wallet balance is a record of amounts Medhavo may pay, not a deposit or a debt payable on demand. Withdrawals are paid only to a bank account in the Educator's own name that Medhavo has verified, after any review Medhavo considers appropriate. Medhavo is not liable for any loss caused by incorrect bank details provided by the Educator.
- Taxes. The Educator is responsible for all taxes on amounts received. Medhavo may deduct tax at source where the law requires.
- Leads and confidentiality. Leads, enquiries, Learner and Parent details and all other information received through the Platform are Medhavo's confidential information. They may be used only to deliver Programmes on the Platform, must not be copied, exported, shared or used for any other purpose, and must not be retained after the Educator stops working with Medhavo.
- Non-solicitation. During the engagement and for 12 months after it, the Educator must not, directly or indirectly, teach, tutor or enrol any Learner or lead introduced through the Platform outside the Platform, or solicit any Learner, Parent, Educator or staff member away from Medhavo. Medhavo may recover any loss caused, in addition to withholding unpaid amounts.
- Intellectual property in content. All content that an Educator or applicant submits or creates for, or on behalf of, Medhavo — including classes, recordings, notes, tests, questions, answer keys, evaluations, demo-class and training material, and anything submitted with an application or during the hiring process — is the intellectual property of the Trust from the moment it is created. To the extent any right in it does not vest in the Trust automatically, the Educator or applicant hereby assigns it to the Trust, worldwide, royalty-free, perpetually and irrevocably, and waives any moral rights in it to the extent the law permits. The Trust alone has the right to use, reproduce, adapt, publish, distribute and commercialise such content in Medhavo's interest, with or without attribution, during and after the engagement, and whether or not the applicant is hired. The Educator or applicant confirms that the content is their own original work and does not infringe any third party's rights.
- Conduct and safeguarding. The Educator will follow Medhavo's conduct and child-safety rules, will not contact any Minor privately outside the Platform, and will report any safeguarding concern to Medhavo at once.
- Removal. Medhavo may suspend or remove an Educator, reassign any class or batch, or withdraw any lead at any time, with or without notice. On removal, only amounts already earned and not subject to adjustment under item 2 remain payable.
5.7 Hiring. Applying does not give any right to be engaged. Medhavo decides, in its sole discretion, which hiring steps apply to an applicant (such as a question-and-answer round, an interview, a demo class, document verification and training), may change, repeat or skip any step, and may end any application at any stage without giving reasons. An applicant confirms that everything they state in their application and during the hiring process is true, including their equipment and internet connection. Training before engagement is part of the selection process and is not employment or an offer of engagement; any payment for it is only as agreed in writing.
6. Accounts and security
6.1 Each account is personal to one Learner and may not be shared, sold, transferred or used by more than one person or on more devices than Medhavo permits.
6.2 You are responsible for keeping your login credentials confidential and for all activity under your account. Notify Medhavo immediately at support@medhavo.com of any unauthorised use. Medhavo is not liable for any loss arising from unauthorised use of your account caused by your failure to keep credentials secure.
6.3 Medhavo may verify identity, limit concurrent sessions, log device and IP information and use watermarking or other technical measures to prevent account sharing and piracy.
7. Fees, payment and taxes
7.1 Fees for each Programme are as displayed on the Platform or communicated in writing at the time of enrolment. Fees are payable in advance, in full or in the instalments Medhavo offers, by UPI or bank transfer (NEFT / RTGS / IMPS), or other methods Medhavo makes available from time to time. Medhavo currently collects payments directly and does not use a third-party payment gateway.
7.2 Fees are exclusive of applicable taxes unless stated otherwise. Medhavo is not responsible for charges levied by banks, payment gateways or UPI apps.
7.3 Medhavo may revise Fees at any time. Revised Fees will not apply to a Programme already paid for.
7.4 If an instalment or payment is not received by its due date, Medhavo may suspend access to the Programme, recordings and material until payment is made, without any refund or extension for the period of suspension.
7.5 Payments are made by you directly through your own bank, UPI app or other payment service, and Medhavo does not currently use a third-party payment gateway. If Medhavo introduces one, its terms will also apply to payments made through it. Medhavo does not store card details, UPI PINs or banking passwords, and is not liable for any failure, delay, error or security incident on the part of any bank, UPI app, payment service or payment gateway.
7.6 Discounts, scholarships, coupons, referral rewards, Wallet Credit and free demo classes are at Medhavo's sole discretion, may be changed or withdrawn at any time and cannot be exchanged for cash.
7.7 You must not initiate a chargeback, payment reversal or UPI dispute for Fees validly charged. If you do, Medhavo may immediately suspend access, contest the dispute, and recover the disputed amount together with all charges and costs of recovery.
7.8 Medhavo's records of payments, enrolment, attendance, class delivery, logins and usage are conclusive evidence of those matters, unless shown to be manifestly erroneous.
7.9 Wallet Credit and referral programme.
- Wallet Credit is a promotional benefit offered at Medhavo's discretion. It is not money, a deposit, a stored-value instrument or a debt owed by Medhavo. It has no cash value and cannot be withdrawn, refunded, encashed, transferred, sold or combined with another account.
- Wallet Credit may be used only on the Platform, only towards the Programmes and items Medhavo permits, and only up to the share of the price, the limits and the conditions Medhavo sets from time to time (including whether it may be used together with a coupon). It cannot be used for renewals unless Medhavo says so.
- Referral rewards are granted only after Medhavo reviews and approves them. Medhavo's decision to approve, refuse, reduce or delay a reward is final. A reward is not earned merely because a referred person enrols or pays.
- Medhavo may at any time, with or without notice, change, cap, suspend or end the referral programme or Wallet Credit, change any reward or limit, refuse to apply a referral code, and reduce, cancel or take back any Wallet Credit, including credit already used, where Medhavo believes it was granted in error or obtained through self-referral, multiple or false accounts, collusion, misuse, fraud or any breach of the Agreement. Medhavo may recover the value of any such credit already used, including by suspending access to the Programme it was used for until the amount is paid.
- Where a payment made partly with Wallet Credit is cancelled, reversed or not confirmed, only the Wallet Credit part is returned, and it is returned to the wallet, not paid in cash.
- Wallet Credit lapses without compensation when the account is closed, suspended for breach or terminated, or when Medhavo ends the programme. Medhavo does not currently apply an expiry date to unused credit but may introduce one at any time under clause 20.2.
- Taxes, if any, arising to you from any reward are your responsibility.
8. No refunds
8.1 All Fees are final and non-refundable, as set out in the No Refund Policy (Part C), which forms part of these Terms.
8.2 By paying, you confirm that you were offered a free demo class, reviewed the Programme details, schedule and Fees, and accept that no refund is payable for any reason other than the limited exceptions in Part C.
8.3 Any amount refunded under Part C is paid only to the original payment method.
9. User conduct
9.1 You agree not to, and not to permit any person to:
- record, screen-capture, download, copy, stream, rebroadcast, sell, share or distribute any live class, recording or Content, except through features the Platform expressly provides;
- upload, post or transmit any material that is unlawful, defamatory, obscene, pornographic, harassing, hateful, threatening, invasive of privacy, harmful to children, or that infringes any intellectual property right;
- bully, abuse, harass, stalk or intimidate any Learner, Parent or Educator, or share any other person's personal information;
- contact any Minor Learner privately outside the Platform, or seek any Minor's personal contact details;
- impersonate any person, use a false identity, or misrepresent your affiliation with anyone;
- disrupt classes, share meeting links or passwords, or admit unauthorised persons to a session;
- use bots, scrapers, crawlers or automated tools to access or extract Content;
- hack, reverse engineer, decompile, probe or test the vulnerability of the Platform, or introduce any virus or malicious code;
- use the Platform for any commercial purpose, including running a competing coaching service or reselling Content;
- post false, misleading or paid reviews, or make false claims about Medhavo or any Educator on any forum or social media;
- violate any law in force, including the Information Technology Act, 2000 and the Bharatiya Nyaya Sanhita, 2023.
9.2 Medhavo may monitor classes, chats and uploads for safety, quality and compliance. It may remove any material, mute or remove any participant, and suspend or terminate any account that it believes, in its sole discretion, breaches this clause, without prior notice and without refund.
9.3 Medhavo may report any unlawful conduct, and in particular any conduct endangering a child, to the police or other competent authorities and share relevant information with them.
10. Intellectual property
10.1 All Content, and all trademarks, logos, the name "Medhavo", software, designs, databases and the look and feel of the Platform, are owned by or licensed to the Trust and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws.
10.2 Subject to full payment and compliance with these Terms, Medhavo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access the Content of the Programmes you have enrolled in, solely for your own personal, non-commercial learning, for the duration of your access period.
10.3 Free resources are licensed on the same basis. You may not remove any copyright notice or watermark, or republish free resources on any other website, channel or group.
10.4 Any answer sheets, speeches, videos, comments, questions, feedback or suggestions you submit ("User Submissions") remain yours. You grant Medhavo a worldwide, royalty-free, perpetual licence to use, reproduce, evaluate and adapt User Submissions for providing and improving its services. Medhavo will use a User Submission, or any Learner's name, photograph, voice, result or testimonial, for marketing or publicity only with separate written consent from the Learner (or the Parent, for a Minor).
10.5 Any breach of this clause will cause Medhavo irreparable harm. Medhavo is entitled to injunctive relief, in addition to damages and any other remedy, and to terminate access immediately without refund.
10.6 If you believe any Content infringes your rights, write to the Grievance Officer (clause 17) with details of the work, the infringing material and your authority. Medhavo will act in accordance with applicable law.
11. No guarantee of results
11.1 Success in any examination, interview, selection or competition depends on many factors outside Medhavo's control, including the Learner's own effort, aptitude, attendance, health and the decisions of examining bodies.
11.2 Medhavo, its Educators and the Medhavo Persons do not promise or guarantee any marks, grade, rank, percentile, admission, selection, appointment, interview result or improvement in speaking ability. Any past results, success stories or testimonials shown on the Platform are illustrative of individual outcomes only and are not a prediction of your results.
11.3 Study plans, test scores, progress reports, mentor notes and evaluations are guidance only. They are not certification of a Learner's ability or readiness.
12. Disclaimers
12.1 The Platform and Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Medhavo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement.
12.2 Accuracy of Content. Syllabi, exam patterns, notifications, dates, eligibility rules, current affairs and answer keys change frequently. Medhavo makes reasonable efforts to keep Content current but does not warrant that it is complete, error-free or up to date. Learners must verify all official information from the notifications of the relevant examining body.
12.3 Technology. Medhavo does not guarantee uninterrupted, timely, secure or error-free access. Live classes depend on internet connectivity, devices, third-party video platforms, cloud providers and other services outside Medhavo's control. Medhavo is not responsible for classes missed or disrupted because of the User's internet, device, power supply or settings. Where a session is disrupted on Medhavo's side, Medhavo's sole obligation is to provide a recording or a rescheduled session.
12.4 Automated tools. Where the Platform uses automated or AI-assisted tools (for example, for answer evaluation, speech analysis, transcription or recommendations), their outputs may be inaccurate or incomplete and are advisory only. Users should not rely on them as a substitute for their own judgment or an Educator's review.
12.5 Third-party links and services. The Platform may link to or integrate third-party websites, apps, payment gateways, video services and messaging services (including WhatsApp). Medhavo does not control and is not responsible for their content, availability, privacy practices or terms.
12.6 Not professional advice. Public speaking, personality development, career guidance and mentoring sessions are educational only. They are not psychological, medical, legal, financial or career counselling by a licensed professional.
13. Limitation of liability
13.1 To the maximum extent permitted by applicable law, neither Medhavo nor any Medhavo Person is liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, including loss of marks, rank, admission, selection, career opportunity, academic year, income, data, goodwill or mental distress, arising out of or relating to the Platform, any Programme, any Content or any Educator, however caused and even if advised of the possibility of such loss.
13.2 To the maximum extent permitted by applicable law, the total aggregate liability of the Trust and all Medhavo Persons together, for all claims of any nature arising out of or relating to the Agreement or the Platform, is limited to the Fees actually paid by you to Medhavo for the specific Programme giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.
13.3 Any claim must be notified in writing to the Grievance Officer within thirty (30) days of the event giving rise to it, so that Medhavo can investigate and resolve it promptly.
13.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence, or any right you have as a consumer that cannot be waived by contract.
14. Protection of trustees, officers, employees, Educators and agents
14.1 You acknowledge that the Platform is provided by the Trust as an institution. Any obligation or liability under the Agreement is an obligation or liability of the Trust alone, payable only out of the assets of the Trust. Trustees acting in good faith are not personally liable for the Trust's obligations.
14.2 To the maximum extent permitted by law, you agree that you will not bring any civil claim, suit or proceeding against any Medhavo Person other than the Trust (including any trustee, managing trustee, office bearer, director, officer, employee, Educator, consultant, agent, volunteer or associated person) in their personal capacity for any act or omission done in good faith in the course of operating the Platform or delivering a Programme. Any such claim must be brought only against the Trust.
14.3 Each Medhavo Person is an intended beneficiary of clauses 11 to 15 and may rely on and enforce them directly.
14.4 Nothing in this clause protects any individual from personal liability for their own fraud, wilful misconduct or criminal offence, or restricts any complaint to a competent authority where the law requires or permits it.
15. Indemnity
15.1 You (and, for a Minor, the Parent or Guardian, jointly and severally) agree to indemnify, defend and hold harmless the Trust and every Medhavo Person from and against all claims, demands, actions, proceedings, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to, without limitation:
- your breach of the Agreement or of any law;
- your use or misuse of the Platform or Content, including any piracy, sharing or redistribution;
- any User Submission or other material you upload, post or transmit;
- your conduct towards any Learner, Parent, Educator or other person;
- any false or misleading information you provide, including about age, identity or parental consent;
- any unauthorised use of your account resulting from your failure to keep credentials secure;
- any claim, complaint or proceeding brought by any third party connected with you, including the Minor, the other parent or any guardian or family member of the Learner, in relation to the Learner's registration, enrolment, payment, use of the Platform or any Programme;
- any misuse of the referral programme or Wallet Credit by you or by anyone acting with you.
15.2 Medhavo may assume exclusive defence and control of any matter subject to indemnity, and you will cooperate fully with it. Each Medhavo Person may enforce this clause directly. This clause survives termination of the Agreement.
16. Force majeure
Medhavo is not liable for any failure or delay in performing its obligations caused by events beyond its reasonable control. These include natural disasters, epidemics, pandemics, government orders, internet shutdowns, power outages, war, riots, strikes, cyber attacks, failure of third-party platforms or telecom networks, or the illness or unavailability of an Educator. During such an event, Medhavo may suspend, reschedule or convert any Programme to recorded or alternative delivery without liability, refund or compensation.
17. Grievance redressal
17.1 In accordance with the Information Technology Act, 2000, the rules made under it, the Consumer Protection (E-Commerce) Rules, 2020 and the Digital Personal Data Protection Act, 2023, Medhavo has appointed a Grievance Officer:
- Name: Grievance Officer
- Designation: Bhagwati Pitambara Trust
- Email: support@medhavo.com
- Phone: +91 89579 39704, Mon–Sat, 10:30am–6pm
- Address: Bhagwati Pitambara Trust, Sector 74 - Noida
17.2 The Grievance Officer will acknowledge and resolve complaints within the timelines prescribed by applicable law.
17.3 You agree to raise any grievance with the Grievance Officer first and give Medhavo a reasonable opportunity to resolve it before starting any other proceeding, except where the law entitles you to approach an authority directly.
18. Suspension and termination
18.1 You may stop using the Platform and request closure of your account at any time. No refund is payable on voluntary closure, withdrawal or discontinuation by you.
18.2 Medhavo may suspend, restrict or terminate your account or access to any Programme, with or without notice, if it reasonably believes that you have breached the Agreement or any law; that your conduct endangers or harasses another User or Educator; that you have engaged in piracy, account sharing or payment fraud; or if required by law or a competent authority.
18.3 On termination for your breach, no refund is due, all licences granted to you end immediately, and you must stop using and delete all Content in your possession.
18.4 Medhavo may discontinue any Programme or the Platform, in whole or in part. Where a paid Programme is discontinued by Medhavo for reasons other than your breach or a force majeure event, your sole remedy is a transfer to a comparable Programme or, only where Medhavo does not offer one, a refund under section 4 of the No Refund Policy (Part C).
18.5 Clauses 1.4A, 5.4, 5.5, 5.6, 5.7, 7, 8, 9, 10, 11 to 15, 19, 20 and any other clause which by its nature should survive, survive termination.
19. Governing law, jurisdiction and dispute resolution
19.1 The Agreement is governed by the laws of India.
19.2 Any dispute arising out of or relating to the Agreement or the Platform will first be referred to the Grievance Officer under clause 17. If not resolved within 30 days, the parties will attempt amicable settlement through good-faith negotiation for a further 30 days.
19.3 If the dispute remains unresolved, it will be referred to final and binding arbitration by a sole arbitrator appointed by mutual agreement of the parties (failing which, under Section 11 of that Act), in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Lucknow, Uttar Pradesh, the language will be English, and the proceedings may be conducted online. Each party will bear its own costs unless the arbitrator directs otherwise.
19.4 Subject to clause 19.3, the courts at Lucknow, Uttar Pradesh have exclusive jurisdiction.
19.5 Nothing in this clause prevents Medhavo from seeking urgent injunctive relief from any court of competent jurisdiction to protect its intellectual property or confidential information, or limits any non-waivable right a consumer has to approach a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
20. General provisions
20.1 Entire agreement. The Agreement is the entire agreement between you and Medhavo about its subject matter and supersedes all prior communications, advertisements, brochures and representations, oral or written.
20.2 Amendments. Medhavo may amend these Terms at any time by publishing the revised version on the Platform. The revised version takes effect from the effective date shown on it, which may be the date it is published, without any prior notice. Medhavo may, but need not, tell Users about changes by email, SMS, WhatsApp or an in-app notice. Continued use of the Platform on or after the effective date constitutes acceptance of the revised version.
20.3 Communications. You consent to receive calls, SMS, emails and WhatsApp messages from Medhavo about your account, classes, reports, payments and service updates, even if your number is registered on the National Do Not Call Registry. You may opt out of promotional messages at any time.
20.4 Assignment. You may not assign or transfer your rights or obligations under the Agreement. Medhavo may assign or transfer them to any successor entity, affiliate or purchaser of the Platform without your consent.
20.5 Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and modified to reflect the parties' original intent, and the remaining provisions remain in full force.
20.6 Waiver. No failure or delay by Medhavo in exercising any right is a waiver of that right.
20.7 Independent parties. Nothing in the Agreement creates any partnership, agency, employment or fiduciary relationship between you and Medhavo.
20.8 Language. If these Terms are translated, the English version prevails in case of any conflict.
20.9 Notices. Notices to Medhavo must be sent to support@medhavo.com and to Bhagwati Pitambara Trust, Sector 74 - Noida. Notices to you may be sent to the email address, phone number or WhatsApp number registered with your account, or displayed on the Platform.
